IIOCA TERMS AND CONDITIONS FOR RECEIVING FUNDS FROM SPONSORS

  1. 1. Acceptance of Sponsorship
    • 1.1 The International Institute of Communications Auditors (hereinafter referred to as “the Institute”) gratefully accepts sponsorship from individuals, corporations, foundations, and other entities (hereinafter referred to as “Sponsors”).
    • 1.2 All sponsorships are accepted at the discretion of the Institute and must align with its mission, values, and objectives.
  2. 2. Use of Sponsorship
    • 2.1. Sponsorship will be used to further the mission of the IIOCA, including but not limited to funding research, educational programs, and operational expenses.
    • 2.2 The IIOCA reserves the right to allocate sponsorship to areas of greatest need unless otherwise specified by the Sponsor and agreed upon by the IIOCA.
  3. 3. Sponsor Intent and Restrictions
    • 3.1 The IIOCA will honour the intent of the Sponsor relating to the use of Sponsored funds to the extent possible.
    • 3.2. Any restrictions on the use of sponsorship must be agreed upon in writing by the IIOCA prior to acceptance.
  4. 4. Transparency and Reporting
    • 4.1 The IIOCA commits to transparency in its financial practices and will provide regular reports to Sponsors on the use and impact of their sponsorship.
    • 4.2 Annual financial statements and reports will be made available to Sponsors upon request.
  5. 5. Ethical Considerations
    • 5.1. The IIOCA will not accept sponsorships that are inconsistent with its ethical standards or that could potentially harm its reputation.
    • 5.2. Sponsorship from sources that engage in activities contrary to the IIOCA’s values will be declined.
  6. 6. Confidentiality
    • 6.1 The IIOCA respects the privacy of its Sponsors and will not disclose personal information without the Sponsor’s consent, except as required by law.
    • 6.2 Sponsors have the option to remain anonymous.
  7. 7. Acknowledgment and Recognition
    • 7.1 The IIOCA will acknowledge all sponsorship in a timely manner.
    • 7.2 Sponsors will be recognized in the IIOCA’s publications and on its website unless they request anonymity.
  8. 8. Refund Policy
    • 8.1. Sponsorships are generally non-refundable. However, in exceptional circumstances, the IIOCA may consider refund requests on a case-by-case basis.
    • 8.2 Refund requests must be submitted in writing within 30 days of the sponsor.
  9. 9. Compliance with Laws
    • 9.1. The IIOCA will comply with all applicable laws and regulations regarding the solicitation and acceptance of sponsorship.
    • 9.2 The IIOCA will ensure that all fundraising activities are conducted in a legal, ethical, and transparent manner.
  10. 10. Amendments
    • 10.1 The IIOCA reserves the right to amend these terms and conditions at any time. Any changes will be communicated to Sponsors in a timely manner.
    • 10.2 This Agreement may be amended or modified only by a written agreement signed by both parties. Any such amendment or modification shall be effective as of the date specified therein and shall be deemed to be a part of this Agreement.
  11. 11. Duration and Termination
    • 11.1 Duration: This Agreement shall commence on the Effective Date and shall continue in full force and effect for a period of one year unless terminated earlier in accordance with the provisions herein.
    • 11.2 Termination
      • 11.2.1 Termination for Convenience: Either party may terminate this Agreement upon giving 30 days written notice to the other party.
      • 11.2.3 Termination for Cause: Either party may terminate this Agreement immediately upon written notice to the other party if the other party commits a material breach of this Agreement and fails to cure such breach within 30 days after receiving written notice from the non-breaching party specifying the nature of the breach.
      • 11.2.3 Effect of Termination: Upon termination of this Agreement for any reason, all rights and obligations of the parties under this Agreement shall cease, except for those rights and obligations that by their nature or express terms survive termination.
  12. 12. Dispute Resolution
    • 12.1 Negotiation: In the event of any dispute arising out of or in connection with this Agreement, the parties shall first attempt to resolve the dispute through good faith negotiations.
    • 12.2 Mediation: If the dispute cannot be resolved through negotiation within 30 days, the parties agree to submit the dispute to mediation, to be conducted by a mutually agreed-upon mediator.
    • 12.3. Arbitration: If the dispute is not resolved through mediation within 30 days, the dispute shall be finally resolved by arbitration in accordance with the rules of the presiding jurisdiction/country of the Head Office of the IIOCA. The arbitration shall be conducted by one arbitrator(s) appointed in accordance with said rules. The place of arbitration shall be online. The language of the arbitration shall be in "English".
    • 12.4 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the presiding jurisdiction/country of the Head Office of the IIOCA.
  13. 13. Indemnification
    • 13.1 Indemnification Each party (the "Indemnifying Party") agrees to indemnify, defend, and hold harmless the other party, its officers, directors, employees, and agents (collectively, the "Indemnified Party") from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees and costs) arising out of or in connection with any breach by the Indemnifying Party of its obligations under this Agreement or any negligent or wrongful act or omission by the Indemnifying Party in the performance of its obligations under this Agreement.
I Accept
